1. Introduction & Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of the services offered by Vocra Ai (“Company,” “we,” “us,” or “our”) via our website, platform, and associated tools (collectively, the “Platform” or “Services”). By accessing or using our Services, you (“you,” “User,” “Customer,” or “Subscriber”) agree to be bound by these Terms.

If you do not agree to all provisions herein, you must not access or use the Services.

2. Definitions

Key definitions used in these Terms include:

• Account: Your registered user account on the Platform.
• Credits: Virtual units purchasable by you, which you consume to use paid features (e.g. resume processing, AI matching).
• Subscription Plan: A packaged plan provided by us which includes a bundled number of Credits and features.
• User Data / Customer Data: Data, content, documents, candidate information, resumes, assessments, interview notes, etc. uploaded or submitted by you or your users via the Platform.
• Confidential Information: Non-public information disclosed by one party to the other (business, technical, financial, etc.).
• AI Matching / Ranking / Profiling: Automated algorithms, models, or processes used by the Platform to score, rank, or recommend candidates.

3. Service Provision & License

• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.
• You may use the Platform only for legitimate recruiting, applicant tracking, candidate assessment, and HR functions.
• We may provide APIs, integrations, or add-on modules; these may be subject to further terms or third-party terms of service.

4. Account, Credentials & Security

• You must furnish accurate, complete information at registration.
• You are responsible for maintaining the confidentiality of your credentials and for all actions under your account.
• You must notify us immediately if you suspect unauthorized access or a breach of your account.
• We may suspend or terminate your account access if we believe the security of your account or the Platform is compromised.

5. Credits, Billing & Payment

• You purchase Credits via our payment interface.
• Credits expire 60 days after the date of purchase. Unused Credits will be forfeited after the validity period.
• If your Subscription Plan includes recurring Credit allotments, it will auto-renew unless cancelled prior to renewal.
• All amounts are exclusive of applicable taxes (such as GST). You are responsible for paying any applicable taxes.
• If payment fails or cannot be collected, we may suspend or restrict your access until resolution.

6. Cancellation, Termination & Refunds

• You may cancel your subscription or credit plan at any time.
• Upon cancellation, any unused Credits may or may not be refundable depending on the policy in the Refund / Credit Policy.
• We may suspend or terminate your access if you breach any provision here.
• After termination or cancellation, we will retain your User Data for 90 days (the “Retention Period”) and thereafter may delete or anonymize it, unless law requires otherwise.
• You may request export of your data during the 90-day Retention Period before deletion.

7. Acceptable Use & Prohibited Conduct

You agree that you shall not:

• Use the Platform for any unlawful, fraudulent, or malicious purposes.
• Upload or process candidate data without having all required consents or legal basis.
• Reverse engineer, decompile, or attempt to derive source code or algorithms of the Platform.
• Interfere with or disrupt the Platform, or attempt unauthorized access to systems or features.
• Transmit malware, viruses, phishing content, or malicious code.
• Use the Platform to discriminate, harass, defame, or violate privacy or data protection laws.

8. Intellectual Property Rights

• We (and our licensors) retain all rights, title, and interest in the Platform, software, AI models, trademarks, and all intellectual property associated with them.
• You retain ownership of your User Data. You grant us a limited license (non-exclusive, worldwide, royalty-free) to use your data as necessary to provide and improve the Services (including anonymized / aggregated analytics).
• We may anonymize or aggregate data for benchmarking, analytics, or improving AI, such that no individually identifiable data remains.

9. Data, Privacy & Confidentiality

• You warrant that you have obtained and will maintain all necessary rights, consents, and legal basis to upload and process candidate data.
• We will process personal data in accordance with our Privacy Policy, which is incorporated herein by reference.
• Each party shall maintain confidentiality of the other’s Confidential Information, except as permitted by these Terms or required by law.

10. AI / Automated Decision Making & Profiling

• Our AI matching, scoring, and ranking functionality is intended as an assistive tool and does not guarantee outcomes
• In jurisdictions where required (e.g. under GDPR), users may request human review or explanation of AI-driven results.
• We disclaim liability for decisions made solely based on AI recommendations.

11. Disclaimers & Limitation of Liability

• The Platform is provided “as is” and “as available,” without warranties of any kind (express or implied).
• We do not guarantee error-free operation, uninterrupted availability, or perfect results.
• To the fullest extent permitted by law, we limit our liability for damages (including direct, indirect, special, consequential, or punitive damages).
• You agree to indemnify and hold us harmless from claims arising from your misuse of the Platform, violations of these Terms, or breach of applicable laws

12. Third-Party Integrations & APIs

• We may provide integrations to or allow connections with third-party services (email, calendars, job boards, etc.).
• Your use of third-party services is subject to those third parties’ terms and policies.
• We are not liable for outages or breaches caused by third-party services.

13. Modifications to Terms

• We may modify or update these Terms from time to time.
• We will notify you of material changes via email or Platform notification.
• Continued use after the effective date of changes constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts in Uttar Pradesh, India.

Notices to you will be via email to your registered address or via Platform messaging.

16. Miscellaneous

Force Majeure: We are not liable for delays or failures resulting from causes beyond our reasonable control (acts of God, strikes, natural disasters, etc.).

Severability: If any provision is found invalid or unenforceable, the remainder of the Terms will remain in full force.

No Waiver: No failure or delay in exercising a right shall constitute a waiver of that right.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Refund / Credit Policy, constitute the entire agreement between you and us regarding the Services.
